Welcome to VIER Web Solutions, Inc.. These Terms of Service (“Terms”) govern your use of our software-as-a-service platform, GTFS Builder, designed specifically for transit agencies to manage and streamline the creation and management of their agencies GTFS feed.

By accessing or using GTFS Builder (the “Service”), you (“User”, “You”, or “Your”) agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access or use the Service.
You must be authorized to represent your transit agency or organization to use this Service. You affirm that you are at least 18 years old or the age of majority in your jurisdiction and have the authority to enter into these Terms on behalf of the entity you represent.
GTFS Builder is a SaaS platform offered by VIER Web Solutions, Inc., allowing transit agencies to create and manage their GTFS data.
We may update the Service and its features from time to time at our discretion.
To access the Service, you are required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.
We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term in accordance with these Terms. You may not:
Access to certain features may require a paid subscription. Fees, billing terms, and payment schedules will be outlined in your service agreement or quote. Failure to pay may result in suspension or termination of access to the Service.
You retain ownership of all data and content you upload or generate through the Service. By using the Service, you grant us a limited license to host, process, and generate your GTFS feed solely for the purpose of providing the Service.
We do not sell or share your data with third parties except as described in our Privacy Policy or as required by law.
All content, software, and technology related to the Service (excluding Customer Data) is the property of VIER Web Solutions, Inc. or its licensors. This includes, but is not limited to, logos, designs, source code, and documentation.
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, system updates, or factors outside our control may affect uptime.
Support is available via the contact us form on www.gtfsbuilder.com, unless otherwise stated in a service level agreement. We strive to respond to all inquiries within 5 business days.
We may suspend or terminate your access to the Service if you breach these Terms or applicable law. You may also terminate your subscription by providing 90 days written notice, subject to any contractual obligations.

Both parties agree to maintain the confidentiality of any proprietary or non-public information disclosed during the course of the relationship.
The Service is provided “as is” without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose.
To the extent permitted by law, VIER Web Solutions, Inc. shall not be liable for indirect, incidental, or consequential damages, including lost profits or data, arising from your use of the Service.
You agree to indemnify and hold harmless VIER Web Solutions, Inc., its officers, employees, and affiliates from any claims or liabilities arising out of your use of the Service or violation of these Terms.
These Terms shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
We reserve the right to modify these Terms at any time. Any changes will be posted on our website, and continued use of the Service after changes are posted constitutes acceptance.
